These Terms of Service (“Terms”) govern your access to and use of the TeNet platform (“TeNet”, “Service”, “we”, “us”, or “our”), operated by a Delaware corporation (the “Company”). By accessing or using TeNet, you (“you” or “User”) agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the Service.
TeNet allows users to connect their own cloud infrastructure accounts (e.g., AWS, Google Cloud, Azure, or other supported providers) and deploy, manage, or operate machine learning models and related workloads. The Service provides orchestration and optimization layers but does not host your models, your model training data or operate your compute on our own infrastructure. If you prefer not to manage your own infrastructure, you can use our model inference APIs; pre-deployed models on our infrastructure that you can call directly via API.
You remain fully responsible for your cloud environment, usage, costs, data, and any results or content produced through your deployments.
You must be at least 18 years old and capable of entering into a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

TeNet integrates with third-party cloud providers and open-source software, including but not limited to AWS, GCP, Azure, and publicly available machine learning models.
We do not control or operate these third-party services. You are solely responsible for:
We make no warranties or guarantees regarding the performance, availability, or reliability of any third-party service or model.
TeNet may charge usage-based or subscription fees for access to its orchestration, optimization, or related features.

Failure to pay fees may result in suspension or termination of your account.
We may collect limited telemetry, logs, and usage data related to your use of TeNet for purposes including security, analytics, service improvement, and billing.
We handle this data in accordance with our Privacy Policy, which forms part of these Terms. You are responsible for ensuring that your use of TeNet and your cloud environments comply with all applicable data protection laws.
All rights, title, and interest in and to TeNet, including all software, documentation, and underlying technology, remain the exclusive property of the Company and its licensors.
You retain ownership of your data, configurations, and outputs generated through your cloud accounts. However, you grant us a limited, non-exclusive right to process such data as necessary to provide the Service.
You are solely responsible for any data, models, prompts, or outputs generated through your use of TeNet, including compliance with applicable laws, intellectual property rights, and ethical guidelines.
TeNet provides no warranties or representations about the accuracy, quality, or legality of any output produced. You agree not to hold TeNet liable for any loss, claim, or damage arising from generated content or model behavior.
We may suspend or terminate your access to TeNet at any time, without liability, if:
Upon termination, your right to use TeNet will immediately cease, but sections relating to liability, indemnity, and ownership will survive.
TeNet and all related materials, content, and services are provided strictly “as is” and “as available,” without any warranties or guarantees of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability. Your use of TeNet is at your sole risk.
While we take reasonable precautions and make efforts to maintain the Service, we do not guarantee that TeNet will operate without interruption, be error-free, secure, or free from viruses, malware, or other harmful components.
To the maximum extent permitted by law:

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules.
Any dispute, controversy, or claim arising from or relating to these Terms shall be resolved by binding arbitration, conducted in English, under procedures mutually agreed upon by the parties. Each party shall bear its own costs unless otherwise required by law. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
We may modify the Service or these Terms at any time. If we make material changes, we will provide notice (such as by posting to our site or sending an email). Continued use of TeNet after such notice constitutes your acceptance of the updated Terms.
